1. Service Authorization
The client affirms they are the legal operator, owner, or authorized representative of the trucking company engaging Vship Auto for dispatch services.
2. Dispatch Role
Vship Auto operates solely as a third-party dispatch service. We do not own or operate any trucks, nor do we act as a freight broker or carrier. Our role is to find, negotiate, and assign loads on behalf of the client’s trucking business.
3. Carrier Responsibility
All transport and delivery services are the responsibility of the motor carrier. Vship Auto is not liable for any delays, damages, accidents, cargo claims, or DOT violations incurred during transit. The carrier is expected to comply with all FMCSA, DOT, and state-specific regulations.
4. Load Acceptance
Once a load is accepted by the client or their driver, it is considered final. Vship Auto is not responsible for any cancellation fees or charges due to carrier refusal or no-show after acceptance.
5. Communication
Clients must remain responsive and reachable via phone, email, or preferred communication methods during working hours to ensure efficient dispatch coordination and compliance.
6. Load Details
Vship Auto will provide accurate information regarding pickup and delivery addresses, appointment times, commodity details, rate confirmations, and any special requirements. It is the responsibility of the carrier to verify all details before dispatch.
7. Payment Terms
Clients agree to pay the agreed-upon dispatch fee as per the plan selected. Payment is due via [Credit Card/Zelle/ACH/CashApp] on a weekly or per-load basis as outlined in the service agreement. Late payments may incur penalties or service suspension.
8. Non-Circumvention
Clients shall not bypass or attempt to work directly with shippers, brokers, or customers introduced by Vship Auto for a period of 12 months from the initial dispatch date. Violation of this clause may result in legal action and compensation claims.
9. Liability Disclaimer
Vship Auto is not liable for any losses, damages, missed appointments, delays, or downtime caused by weather, equipment failure, traffic, shipper/receiver errors, or any third-party entity.
10. Termination
Either party may terminate this agreement with a 7-day written notice. Any outstanding dues must be settled before termination becomes effective.
11. Confidentiality
All information shared between the client and Vship Auto, including rate confirmations and customer contacts, is strictly confidential and may not be shared, sold, or reused without written permission.
12. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Wyoming. Any disputes shall be resolved in courts located in Wyoming.
13. Acknowledgment
By signing up for or using Vship Auto’s dispatch services, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
